These Terms of Use (the “Terms”) govern your access to and use of the website operated by Arxion AI Inc. (“Arxion,” “we,” “us,” or “our”), including arxion.ai and the content and features available through it (the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Who may use the Website

You must be at least 18 years old and able to enter into a legally binding agreement to use the Website. If you use the Website on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Website information and the Arxion product

The Website provides general information about Arxion and may allow you to request a demonstration, join a waitlist, or contact us. Website content is provided for informational purposes only. It is not an offer, construction estimate, professional advice, or a promise that any feature, price, availability date, result, or level of performance will be available.

Product screens, examples, measurements, quantities, prices, timelines, and other illustrations may be simplified, incomplete, or subject to change. You are responsible for independently verifying information before relying on it for bidding, estimating, purchasing, construction, or any other business decision.

Your use of an Arxion product or service may be governed by a separate order form, subscription agreement, or other customer agreement. If those terms conflict with these Terms concerning the product or service, the customer agreement controls.

• violate any applicable law or the rights of another person;

To the fullest extent permitted by law, the total liability of Arxion and the other parties identified above for all claims arising out of or related to the Website or these Terms will not exceed one hundred U.S. dollars (US $100). These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain liability limitations, so some of these limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Arxion and its officers, directors, employees, affiliates, and agents from claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your unlawful use of the Website, your violation of these Terms, or your infringement of another person’s rights.

We may suspend or terminate your access to the Website at any time if we reasonably believe you have violated these Terms, created risk or possible legal exposure for Arxion, or used the Website in a way that could harm us or another person. 11. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Kings County, New York, and you and Arxion consent to the personal jurisdiction and venue of those courts.

12. Changes to the Website or these Terms

We may change the Website and update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Changes take effect when posted unless we state otherwise. Your continued use of the Website after revised Terms take effect means you accept them.

13. General terms

These Terms are the entire agreement between you and Arxion concerning the Website and supersede prior discussions or agreements about the Website. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Arxion may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
